In March of 2018, amid numerous allegations of misconduct against its recently dismissed co-founder and chief executive, Harvey Weinstein, The Weinstein Company (TWC) filed for Chapter 11 bankruptcy.* In May of that year, the bankruptcy auction process began, and by July, TWC's assets were sold to the Dallas-based private equity firm Lantern Capital Partners for US$289 million. In Part 1 of this two-part edition of Sidley’s The Restructuring Room, partner Tom Califano and managing associate Juliana Hoffman look back at Lantern’s purchase of those assets and how it impacted some of Hollywood’s biggest names. Joining them to share personal insights from his experience is Andy Mitchell, CEO and Managing Partner of Lantern Capital Partners. * Sidley was very active in the bankruptcy as counsel for the administrative agent for the first lien lenders to the Weinstein Company; Tom Califano represented Lantern after their purchase of the Weinstein Company assets while at his prior firm.

He presided over thousands of cases and authored over 160 opinions.  A partner in Sidley's Restructuring gorup, Tom represents large private and public companies in distress in and out of court; buyers of distressed companies and significant creditor constituencies. His practice has a particular emphasis on company and buyer side representation, working with a variety of industries including healthcare, energy and financial services.
